1. Acceptance of Terms

By accessing and using the Carter Leadership Ascendancy Solutions, LLC ("CLAS," "we," "us," or "our") website and services, you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.

2. Services Provided

CLAS provides leadership coaching, consulting, training, and development services based on the Maxwell Leadership methodology. Our services include but are not limited to:

  • One-on-one leadership coaching sessions
  • Team leadership workshops and training
  • Organizational consulting services
  • Leadership development programs
  • Speaking engagements and facilitation

3. Consultation and Engagement

Free Consultation: We offer complimentary 30-minute discovery consultations to potential clients. This consultation is for assessment purposes and does not constitute a commitment to services.

Paid Services: All coaching and consulting engagements require a signed service agreement and payment according to the terms specified in that agreement. Service fees, payment schedules, and deliverables will be outlined in your individual service agreement.

4. Client Responsibilities

As a client engaging with CLAS services, you agree to:

  • Provide accurate and complete information during consultations and engagements
  • Attend scheduled sessions or provide at least 24 hours notice for cancellations
  • Actively participate in coaching and training activities
  • Respect confidentiality agreements regarding proprietary materials and methods
  • Make timely payments according to your service agreement

5. Cancellation and Rescheduling Policy

  • 24-Hour Notice: Cancellations or rescheduling requests must be made at least 24 hours before the scheduled session
  • Late Cancellations: Sessions cancelled with less than 24 hours notice may be charged at 50% of the session fee
  • No-Shows: Failure to attend a scheduled session without notice will result in the full session fee being charged
  • Emergency Exceptions: We understand that emergencies happen and will work with you on a case-by-case basis

6. Intellectual Property

All content, materials, methodologies, assessments, and resources provided by CLAS are protected by intellectual property laws. This includes both CLAS proprietary content and licensed Maxwell Leadership materials. You may not:

  • Reproduce, distribute, or publicly display any CLAS or Maxwell Leadership materials without written permission
  • Use our methodologies or frameworks for commercial purposes without a licensing agreement
  • Claim ownership of any CLAS or Maxwell Leadership intellectual property
  • Share access credentials or session recordings with unauthorized individuals

7. Confidentiality

Our Commitment: CLAS maintains strict confidentiality regarding all client information, coaching discussions, and organizational matters shared during engagements, except where disclosure is required by law.

Your Commitment: Clients agree to maintain confidentiality regarding any proprietary CLAS methodologies, materials, and business practices shared during the engagement.

8. Results and Guarantees

While CLAS is committed to providing high-quality leadership development services, we cannot guarantee specific outcomes or results. Leadership development is a collaborative process that requires commitment and effort from both the coach and the client. Success depends on many factors, including the client's engagement, implementation of strategies, and organizational context.

9. Limitation of Liability

CLAS and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use or inability to use our services. Our total liability for any claims related to our services shall not exceed the amount paid for those services.

10. Refund Policy

  • Service Agreements: Refunds for coaching packages and multi-session engagements are handled on a case-by-case basis according to the terms in your service agreement
  • Single Sessions: Single coaching sessions are non-refundable once completed
  • Unused Sessions: For prepaid packages, unused sessions may be eligible for partial refund at the discretion of CLAS management

11. Testimonials and Case Studies

CLAS may request permission to use anonymous or attributed testimonials and case studies from client engagements for marketing purposes. Your participation is voluntary, and we will always seek explicit consent before publishing any client-related content.

12. Website Use and Restrictions

When using our website, you agree not to:

  • Use the website for any unlawful purpose or in violation of these terms
  • Attempt to gain unauthorized access to any portion of the website
  • Interfere with the security or proper functioning of the website
  • Upload any malicious code, viruses, or harmful content
  • Harvest or collect information about website users without consent

13. Third-Party Links and Services

Our website may contain links to third-party websites or services (such as Calendly for scheduling). CLAS is not responsible for the content, privacy practices, or terms of service of these third-party sites. Your use of third-party services is at your own risk.

14. Modifications to Terms

CLAS reserves the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to the website. Your continued use of our services after changes are posted constitutes acceptance of the modified terms. We encourage you to review these terms periodically.

15. Termination

Either party may terminate a coaching or consulting engagement according to the terms specified in the service agreement. CLAS reserves the right to refuse service or terminate access to our website for violations of these terms or for any other reason at our discretion.

16. Governing Law and Dispute Resolution

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Alabama, without regard to its conflict of law provisions. Any disputes arising from these terms or your use of our services shall be resolved through:

  • Good Faith Negotiation: First, through direct negotiation between the parties
  • Mediation: If negotiation fails, through mediation with a mutually agreed-upon mediator
  • Arbitration: If mediation is unsuccessful, through binding arbitration in Huntsville, Alabama

17. Severability

If any provision of these Terms of Service is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these terms shall otherwise remain in full force and effect.

18. Entire Agreement

These Terms of Service, along with our Privacy Policy and any signed service agreements, constitute the entire agreement between you and CLAS regarding your use of our website and services.
